Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Grid Collab (the “Service”), including the Grid Collab mobile applications for iOS and Android, the web planner at https://web.gridcollab.app, and the website at https://gridcollab.app.

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. About Grid Collab

Grid Collab is a collaborative feed planning tool that helps creators and teams arrange Instagram-style grid layouts, upload draft tiles, invite collaborators, comment, react, and coordinate publishing plans.

Grid Collab is not affiliated with, endorsed by, sponsored by, or officially connected to Meta Platforms, Inc., Instagram, or Facebook. References to Instagram or Facebook are for interoperability and descriptive purposes only. Instagram® and Facebook® are trademarks of their respective owners.

The Service may integrate with Meta’s official APIs when you authorize a connection. Those integrations are optional features and remain subject to Meta’s terms and policies in addition to these Terms.


2. Eligibility and accounts

2.1 Eligibility

You must be at least 13 years old (or the minimum digital consent age in your country, if higher) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.2 Account registration

To use core features you must create an account. Depending on the client and available providers, registration may use:

  • a Grid Collab username and password; and/or
  • Instagram OAuth / Business Login.

Username/password sign-up requires a valid Instagram username for profile association and a password of at least eight (8) characters. Usernames must meet technical rules enforced by the Service (for example length and allowed characters).

You agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity under your account unless you promptly notify us of unauthorized use.

2.3 Account security

We may refuse registration, reclaim usernames that violate these Terms, require re-authentication, invalidate sessions, or suspend accounts if we detect abuse, credential stuffing, scraping, or other security risks.


3. The Service and its limits

3.1 What the Service provides

Subject to these Terms, Grid Collab provides tools to:

  • connect an authorized Instagram account (where available) and load media via official APIs;
  • cache media metadata/images to improve planner performance;
  • arrange feed slots (Instagram media, custom uploads, and gradient placeholders);
  • invite collaborators via profile shares;
  • add comments and emoji reactions;
  • receive push notifications about collaboration activity (when enabled); and
  • use safety controls such as reporting and blocking.

3.2 What the Service is not

Unless we expressly enable and disclose a publishing feature:

  • Grid Collab does not automatically post, schedule, or publish content to Instagram on your behalf solely by rearranging tiles in the planner;
  • Grid Collab is not a substitute for Instagram’s native publishing, insights, advertising, or moderation tools; and
  • Grid Collab does not guarantee that a planned layout will match Instagram’s live grid after you publish elsewhere.

3.3 Platform dependency

The Service depends on third-party platforms and infrastructure (including Meta APIs, Convex, Vercel, Expo, Apple, and Google). Those parties may change APIs, rate limits, permissions, pricing, or availability. We are not liable for outages, permission revocations, or feature degradation caused by third parties beyond our reasonable control.

3.4 Beta / evolving features

Features, limits, and pricing may change as the product evolves. We may add, modify, or discontinue functionality with notice when reasonably practicable.


4. Acceptable use

You agree not to misuse the Service. Without limitation, you must not:

  1. Upload, share, comment on, or otherwise introduce content that is unlawful, fraudulent, defamatory, harassing, hateful, threatening, sexually exploitative (including any sexual content involving minors), excessively violent, or that invades another person’s privacy.
  2. Infringe intellectual property, publicity, or other rights of any person or entity.
  3. Impersonate any person or misrepresent your affiliation with a person or brand.
  4. Attempt to access another user’s account, workspace, or data without authorization.
  5. Bypass share, block, authentication, or rate-limiting controls.
  6. Scrape, crawl, harvest, or bulk-export the Service or other users’ content except through documented product features or our prior written consent.
  7. Reverse engineer, interfere with, overload, or disrupt the Service or related networks, except to the extent such restriction is prohibited by law.
  8. Use the Service to spam, phish, distribute malware, or conduct social-engineering attacks.
  9. Use unofficial Instagram private APIs, credential stuffing, or other unauthorized methods in connection with Grid Collab.
  10. Use the Service if we have suspended or terminated your access.

We may investigate violations and take action described in Section 9.


5. User content and collaboration

5.1 Your content

User Content” means content you submit to the Service, including uploaded photos, placeholders, captions you store, comments, reactions, report reasons, profile handles you enter, and layout arrangements you create.

You retain ownership of your User Content, subject to the licenses below and any rights of third parties (for example rights in photographs of other people, music, trademarks, or Instagram media owned by Meta or other rights holders).

5.2 License you grant to Grid Collab

You grant Grid Collab a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for technical display/caching), transmit, display, and otherwise process User Content solely as needed to operate, secure, improve, and provide the Service, including showing shared workspaces to collaborators you invite and creating operational caches of authorized media.

This license ends when your User Content is deleted from our active systems, except for residual copies in backups, logs, or archives that are deleted in the ordinary course, and except as needed for legal, safety, or dispute-resolution purposes.

5.3 License you grant to collaborators

When you share a profile workspace, you grant invited collaborators permission to view and, where product permissions allow, edit planning content in that workspace (for example rearranging slots, uploading tiles, commenting, or reacting), according to the product’s access model at the time.

You are responsible for choosing trustworthy collaborators. Grid Collab is not responsible for collaborator misuse of content you chose to share.

5.4 Instagram / Facebook content

Media and profile data retrieved through Meta APIs remain subject to Meta’s terms and the rights of the underlying rights holders. Your authorization to Grid Collab does not expand your rights under Meta’s platforms. You must not use Grid Collab to violate Meta Platform Terms, Instagram Terms of Use, or related developer policies.

5.5 Responsibility for User Content

You are solely responsible for User Content you submit and for ensuring you have all rights and consents needed to use and share it through the Service. We do not pre-screen all User Content, but we may remove or restrict content that violates these Terms or applicable law.


6. Reporting, blocking, and moderation

6.1 In-app safety tools

The Service provides tools to:

  • report profiles, users, custom photos, placeholders, or comments; and
  • block users (which can remove share relationships and hide access as implemented in the product).

Use these tools for genuine safety concerns. False, abusive, or retaliatory reports may themselves violate these Terms.

6.2 Our moderation rights

We may, at our discretion and without prior notice where reasonably necessary:

  • review reports;
  • remove or restrict User Content;
  • limit sharing or collaboration features;
  • suspend or terminate accounts; and
  • preserve information as needed for investigations or legal compliance.

Urgent safety or privacy issues should also be emailed to support@gridcollab.app.

We do not guarantee that every report will result in action, or that action will occur within a specific timeframe, but we aim to review open reports in good faith.


7. Intellectual property of Grid Collab

The Service—including software, design, branding, documentation, and “Grid Collab” name and logos—is owned by us or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

You may not copy, modify, distribute, sell, lease, or create derivative works of our software or branding except as expressly allowed by law or our prior written consent.

Feedback you send us (ideas, suggestions, bug reports) may be used by us without restriction or compensation.


8. Plans, pricing, and payments

8.1 Current status

Grid Collab publishes a launch pricing ladder (for example Free, Creator Pro, and Agency tiers, priced in Australian dollars) describing planned workspace, collaborator, and feed-slot limits. Payment processing and paid entitlement enforcement may not yet be fully enabled. Pricing shown before subscription checkout is available is informational and may change.

8.2 When paid features launch

If and when paid digital features are offered:

  • purchases made in the iOS app will be processed through Apple’s In-App Purchase system where required by Apple policy;
  • purchases on other platforms may use the platform’s required billing system or another disclosed payment processor;
  • subscriptions renew according to the terms presented at purchase unless cancelled in accordance with the platform’s cancellation flow;
  • taxes may apply; and
  • refunds are handled according to Apple, Google, or the applicable payment provider’s policies and applicable consumer law.

8.3 Free plan and fair use

Free access may be limited by technical caps (for example maximum feed slots, uploads, comments, reactions, or shares). We may adjust limits to protect Service stability. Circumventing plan limits is prohibited.

Collaborators invited to a workspace generally do not need their own paid seat merely to review or collaborate, except as we may later disclose for specific agency or seat-based features.


9. Suspension and termination

9.1 By you

You may stop using the Service at any time and may delete your account from the Account tab / Account screen. Account deletion removes active app data associated with your account as described in the Privacy Policy, subject to legal, safety, backup, and abuse-prevention obligations.

9.2 By us

We may suspend or terminate access immediately if:

  • you materially breach these Terms;
  • we are required to do so by law or platform policy (including Apple App Store or Google Play requirements);
  • your use creates security, legal, or operational risk; or
  • the Service is discontinued.

We may also suspend accounts pending investigation of credible abuse reports.

9.3 Effect of termination

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and dispute terms) will survive.


10. Third-party services and links

The Service may link to or interoperate with third-party services. Those services are not under our control. Your use of them is governed by their terms and privacy policies. Grid Collab does not endorse third-party content or assume responsibility for third-party acts or omissions, except to the extent required by non-waivable law.

Any third-party integration enabled in Grid Collab must use approved APIs and permissions. You must not use Grid Collab to circumvent third-party platform rules.


11. Privacy

Our collection and use of personal information is described in the Privacy Policy. By using the Service, you acknowledge that Policy.


12. Disclaimers

To the maximum extent permitted by law:

  • the Service is provided on an “as is” and “as available” basis;
  • we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement;
  • we do not warrant that the Service will be uninterrupted, secure, error-free, or that planned layouts, cached media, or notifications will be complete, current, or accurate at all times; and
  • we do not warrant that Instagram grids retrieved through APIs will include every post type, story, reel, or insight you expect, or that Meta will continue to authorize the same scopes.

Nothing in these Terms excludes or limits rights that cannot be excluded under applicable consumer law (including non-excludable guarantees under the Australian Consumer Law, where it applies). Where those guarantees apply and a failure is not a major failure, our liability may be limited to resupplying the services or paying the cost of resupply.


13. Limitation of liability

To the maximum extent permitted by law, Grid Collab and its operators, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, or business opportunities; or cost of substitute services, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability for all claims relating to the Service will not exceed the greater of: (a) the amounts you paid to Grid Collab for the Service in the twelve (12) months before the claim; or (b) AUD $100.

These limitations do not apply to liability that cannot be limited under applicable law (for example liability for fraud, or certain personal injury claims where limitation is prohibited).


14. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless Grid Collab and its operators from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your User Content;
  • your misuse of the Service;
  • your breach of these Terms; or
  • your violation of any law or third-party right (including Meta platform terms and intellectual property rights).

15. Mobile application terms

If you download the app from the Apple App Store or Google Play:

  • these Terms are between you and Grid Collab, not Apple or Google;
  • Apple and Google have no obligation to provide maintenance or support for the app, except as required by their store rules;
  • in the event of a failure of the app to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the app to the maximum extent permitted; to the maximum extent permitted by law, Apple has no other warranty obligation;
  • Apple and Google are third-party beneficiaries of the App Store / Play Store-related portions of these Terms and may enforce them against you; and
  • you represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and are not listed on any U.S. Government list of prohibited or restricted parties (to the extent such representations are required by Apple).

Device permissions (photos, notifications, save-to-library) are optional for some features and controlled by your OS settings.


16. Export and sanctions compliance

You may not use the Service if you are prohibited from receiving services under applicable export control or sanctions laws.


17. Changes to the Service or Terms

We may update these Terms from time to time. The “Effective date” / “Last updated” line will change when we do. Material changes may also be posted on https://gridcollab.app/terms or communicated in-app. Continued use after changes become effective constitutes acceptance, except where applicable law requires additional consent.

If you do not agree to updated Terms, you must stop using the Service and may delete your account.


18. Governing law and disputes

These Terms are governed by the laws of Australia, without regard to conflict-of-law rules that would require another jurisdiction’s laws.

If you are a consumer, you may also have mandatory rights in your place of residence that cannot be waived.

Before filing a formal dispute, please contact support@gridcollab.app so we can attempt to resolve the issue informally. Courts of competent jurisdiction in Australia may hear disputes arising from these Terms, subject to any non-waivable consumer rights you have elsewhere.


19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Grid Collab regarding the Service.
  • Severability. If a provision is unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may provide notices via the Service, website, or email you provide for support. You may contact us at support@gridcollab.app.
  • Language. These Terms are written in English. Translations, if any, are for convenience only.
